Agreement to Terms

By accessing or using VaultAP (the “Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Description of Service

VaultAP is a pre-payment fraud detection platform for accounts payable teams. The Service reviews invoices, scores fraud risk, and provides tools for human review of suspicious items.

VaultAP is an assistive tool — it does not make payment decisions. All approve, reject, and escalate decisions are made by human users of the platform.

Account Registration

To use VaultAP, you must:

  • Create an account with accurate information
  • Be at least 18 years of age
  • Be authorized to act on behalf of your organization
  • Keep your login credentials secure
  • Notify us immediately of any unauthorized account access

Acceptable Use

You agree NOT to:

  • Upload malicious files or content designed to exploit the system
  • Attempt to access data belonging to other organizations
  • Use the Service for any illegal purpose
  • Reverse engineer, decompile, or attempt to extract the source code
  • Resell or redistribute access to the Service without our consent
  • Submit intentionally false data to manipulate risk scores
  • Attempt to circumvent security controls or rate limits

Data Ownership

  • Your data is yours. You retain all rights to the invoices, vendor information, and other data you upload to VaultAP.
  • You grant us a limited license to process your data solely for the purpose of providing the Service.
  • We do not claim ownership of your data.
  • You can export your data at any time using the built-in export features.
  • Upon account termination, your data will be deleted within 30 days unless retention is required by law.

AI-Generated Content

VaultAP uses artificial intelligence to generate plain-language explanations for flagged invoices. These explanations are:

  • Generated by Anthropic's Claude API
  • Assistive in nature — they summarize risk factors, not make decisions
  • Not guaranteed to be complete or error-free
  • Labeled as “AI-generated” in the product
  • Not a substitute for human judgment in financial decision-making

You acknowledge that AI-generated explanations may occasionally contain inaccuracies and should be used alongside the transparent rule-based scoring and your own professional judgment.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for:

  • Scheduled maintenance windows (we will provide notice)
  • Service interruptions beyond our reasonable control
  • Third-party service outages (cloud providers, API services)

For customers on the Business plan with an SLA, specific uptime commitments are detailed in your service agreement.

Payment Terms

  • Subscription fees are billed monthly in advance
  • Prices are listed on our pricing page and may change with 30 days notice
  • Overages (invoices above your plan limit) are billed at the rate specified on the pricing page
  • You may cancel your subscription at any time; service continues through the end of the billing period
  • We do not provide refunds for partial months

Free Trial

  • The free trial provides full access to the Growth plan for 14 days
  • No credit card is required during the trial
  • Trial data is preserved if you convert to a paid plan
  • At the end of the trial, your account will be downgraded to read-only access until you subscribe or request deletion

Limitation of Liability

VaultAP is a fraud detection tool that assists human decision-makers. We do not guarantee that the Service will catch all fraudulent invoices or prevent all financial losses.

To the maximum extent permitted by law:

  • Our total liability is limited to the fees you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss
  • We are not liable for decisions made by users based on information provided by the Service

Indemnification

You agree to indemnify and hold VaultAP harmless from claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Data you upload to the Service

Termination

  • You may terminate your account at any time from Settings
  • We may terminate your account for violation of these Terms with 30 days notice (or immediately for severe violations)
  • Upon termination, your data will be deleted within 30 days
  • Provisions that should survive termination (limitation of liability, indemnification) will survive

Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law provisions.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
